Wofunding.com is an online service and website belonging to VA Holdings Pty Ltd. From here on, "WO Funding" may be referred to as "We," or "Us".

Be sure to review these terms & conditions of use ahead of using the services of WO Funding. When you use the website it is assumed that you have reviewed and understood these terms and conditions. In using the website you are legally bound by these terms and conditions. These terms and conditions comprise a legally binding agreement in place between you and us. Those who prefer not to be bound by these terms should not use the website.


Businesses change over time, and this may lead to adaptations of the terms and conditions described here. We reserve the right to alter these terms and conditions as needed. This may occur at any time, so it is recommended that you check the terms and conditions frequently to make yourself aware of any changes that have occurred. Each time that you use the website, you will be assumed to be in agreement with the terms and conditions that are published at that time.


2.1 Using Wofunding.com means that you are required to be able to form legal contracts. This means that you are strictly prohibited from using the website if you are:

a.      a bankrupt that is undischarged;

b.      under 18 years of age;

c.      in the case of a company, under any type of insolvency administration.


3.1 Use of this website is only permitted if you:

a.      stick to the terms and conditions detailed here;

b.      work within relevant regulations and laws.

3.2 It is not permitted to carry out activities that may disrupt the website in any way. This includes interference with servers and networks. In using this website you agree not to interfere with security features of the website.

3.3 It is not permitted to reproduce content on the website for other activities, including communicating it to the public or distributing it or using it for commercial activities. If you wish to do this, you must gain the express permission of WO Funding first.

3.4 WO Funding must be used within the limitations of the law. It is unacceptable to use WO Funding for any illegal drug related activities, for any activity that promotes racial or ethnic hatred, for activities that promote the exploitation of a crime or assist others in criminal activity, or for activities that may risk the safety and security of customers. Activities that are obscene are not permitted, nor are activities that promote sexual materials or services. Activities relating to firearms, weapons or ammunition are also banned. Copyright infringements through the use of WO Funding are not permitted, nor are pyramid or ponzi schemes, or any other activities that are of a get rich quick nature. Other banned activities include anything related to the purchase of property, annuities or lottery contracts as well as off-shore banking or the financing or refinancing of debts. Certain money service activities are also strictly prohibited including the sale of traveller’s checks or money orders or currency exchange/check cashing. You must not provide credit repair or debt settlement services through WO Funding or carry out activities that may be related to fraud. Other activities that are not permitted through his website include the sale of tobacco or its products, prescription drugs or devices, and gambling of any kind. All activities must not be in violation of any law, statute, regulation or ordinance.

3.5 If any illegal, unauthorised or fraudulent activity is discovered, it will be considered to be a violation of the WO Funding terms and conditions. Additionally, we may refer any activities that are illegal or fraudulent to the law. 


Those that register with WO Funding for an account are considered to be “members”. If you visit WO Funding, whether or not you register with the website, you are considered to be a “user”. Members can add projects and work with other members on the project to secure funding.

You may use the service as specified in these terms and conditions, but you may not copy, distribute or disclose any part of it other than use of the service for its intended purpose. You must work within the confines of these terms and conditions.

Users do not have to register with WO Funding, but registration is recommended because it is free and it allows you to:

a.       benefit from the receipt of email communications and updates from WO Funding on new campaigns and promotions.

b.      create project campaigns, comment on activities, contribute to projects or get contributions from projects.

4.2 Your account registration may not be processed, or your WO Funding account may be closed if:

a.      you open an account illegally or fraudulently;

b.      you provide inaccurate, false or incomplete information;

c.      you have an existing account already;

d.      you breach these terms and conditions.

4.3 Account information needs to be kept up to date and must be kept accurate and complete.

4.4 Password and username security is your own responsibility. If others use these details we assume that they are authorised by you to do so. Your liability remains the same even if someone else is using your details. If you believe that your username or password is compromised you must contact us immediately to report it.

4.5 We will use your personal data in accordance with our Privacy Statement. We will not sell your personal information to other mailing lists.


Our privacy policy should be reviewed separately.


6.1 Project guidelines define that all projects must have a goal and a projected outcome that can be understood.  The target amount of funding should be clearly defined and displayed.

6.2 It must be possible for you to be able to deliver the rewards that you promise.

6.3 Projects have to be based on one of three types of categories:

a.      Creative – includes – music, art, dance, fashion, gaming, photography, video/web, comics, design, film, theatre, transmedia and writing.

b.      Entrepreneurial – includes technology, small business, sport and food.

c.      Cause – related to education, health, the environment, politics, religion, community or animals.

6.4 It is strictly prohibited to offer financial incentives or rewards such as shares or profit sharing.

6.5 Charities are prohibited from WO Funding.com. Any company seeking donations for charity collections is not allowed. The exception to this rule is any charity or non-profit organisation with Deductible Gift Receipt (DGR) status can use WO Funding, but the campaign must be for a specific project that has a funding target and an associated outcome. Charitable appeals are not allowed.  If your company is a charity it is possible to provide tax deductible receipts. All receipts must be legal within the laws of your country of operation.

6.6 Projects or rewards that are banned from WO Funding

Types of rewards that are strictly prohibited include alcohol, sexually explicit material or offers, raffles, or illegal items such as drugs or weapons. Projects that do not comply will be automatically removed.


7.1 Creating Listings

Any project listings are subject to the terms and conditions detailed here. Project postings are comprised of user content and these must meet the guidelines specified. False or misleading information is not allowed, and will be considered a breach of this agreement. Your project posting allows you to get both comments and financial input from other WO Funding members.

7.2 Raising funds for your project

WO Funding offers the chance to raise funds for your project by getting funding from other members. These are known as “Contributions”. There are rules associated with how you may do this, and these are called the  "Fundraising Rules". Details follow:

a.  To develop a project on WO Funding you need to set up your profile page and post a  "Funding Request." To post a Funding Request, set your goal for the total Contributions you wish to raise during your current campaign ("Campaign Goal") and the date by which you'd like to raise the funds ("Campaign Deadline") on your profile page. For the Campaign Deadline you can choose any day between 1 and 120 days after the start date.

b.  It is essential to designate the legal entity to which funds will be directed (the "Project Entity"). When you give your name of your Project Entity to WO Funding, you are stating that you are the authorised person for the project that has the right to bind the Project Entity to this agreement as well as receive and be accountable for funds raised on the Project Entity’s behalf.

c.  In order to be able to accept contributions, it is necessary to create an account (a "Funding Account") with the payment processor and information required by WO Fundingat the time you post your Project (the "Processor"). In doing this you agree that your Funding Account will be subject to your agreement  with the Processor, and that WO Fundingshall have no liability for your Funding Account or your transactions or interactions with the Processor.

Contributions that a project receives go automatically to the Project Entity's Funding Account, minus the 5% marketplace processing fee plus transaction fees retained by WO Fundingif you met your Project goal. . When the goal is not met,  8% will be charged plus transaction fees. Anything paid to the Project Entity is  "Project Funding," and the WO Funding fee and all other Project Funding requirements apply to these funds. Errors are not the responsibility of WO Funding if you provide the wrong information for the Funding Account.  Fund transfers are initiated within 5 business days of the project campaign end date. You should allow 5 more business days for the funds to reach your account.

d.  Once the Campaign Deadline arrives, the Funding Request will automatically close. At this stage it will not be possible for members to give other contributions to your project.

e.  WO Funding must be acknowledged if you receive funding from this platform. You must acknowledge this by including the WO Funding logo in the "Special Thanks" section of the credits/acknowledgement section of your completed project as follows: using either the black or white WO Funding logo, the logo should appear on its own line (i.e., no other text or images on the left or right), sized so that the " WO Funding " lettering in the logo is at least three times the size of the credits' normal text.

f.  You can offer rewards for contributions, otherwise known as “Perks”, provided that these perks are lawful.

Verification of both you and the Project Entity may be required for your project. This might include an interview or a document review, or other, as per the needs of WO Funding in verifying your credibility. You and the Project Entity agree that Project Funding may only be used on behalf of the Project, and that Project Funding will not be used for any other purpose. You agree that if at any time during while a Funding Request is open or within thirty (30) days of the close of a Funding Request, WO Funding makes a good faith determination that the identity of you or the Project Entity or the timeline of the Project are not as identified in the Project Posting, or that the Project Funding has not been used solely on behalf of the Project, you will immediately refund the entire amount of Project Funding from such Funding Request to the Contributors. Fundraising Rules can be changed at any time, and if you do not accept those changes, you will have to cancel your project post.

Taxes are your responsibility in their entirety. You have to make sure you are compliant with all applicable labor and employment requirements with respect to your self-employment, sole proprietorship or other form of business organization, and with respect to your employees and contractors, including state worker's compensation insurance coverage requirements. You agree to indemnify, defend and hold WO Funding harmless from any liability for, or assessment of, any claims or penalties with respect to such withholding taxes, labor or employment requirements, including any liability for, or assessment of, withholding taxes imposed on WO Funding by the relevant taxing authorities with respect to any Project Funding paid to you.

There is no guarantee from WO Funding about the amount of contributions or project funding that you may be made as a result of this agreement.   

7.3 Contributing to Projects

You can give contributions to project postings on WO Funding, and the amount is up to you. You can give money to as many projects as you want to.

You should bear in mind that it is your decision to donate to a project. This does not provide you any sorts of rights in that project. The Project Entity shall be free to solicit other funding for the Project, enter into contracts for the Project, allocate rights in or to the Project, and otherwise direct the Project in its sole discretion. You should also be aware that nothing stated here limits WO Funding's right to enter into agreements or business relationships relating to Projects. In addition, there is no guarantee from WO Funding that any Project's Campaign Goal will be met. Additionally, Perks offered are between you and the project entity. WO Funding does not guarantee that Perks will be considered satisfactory by you, or that they will be delivered to you. This is between you and the Project Entity only.

You cannot reclaim funding that you contribute to projects. On rare occasions, WO Funding may, but is under no obligation to, request Project Funding refunds if the Project Entity does not use the funds for the reasons that they were sought, or if the project is misrepresented. By using WO Funding you are in agreement that your contributions are solely between you, the Project Entity, and the Processor only, and that WO Funding is not responsible for Contribution transactions, including without limitation any personal or payment information you provide to the Processor.

With regard to any tax questions, you should consult with a tax advisor.

7.4 Content added by users
It is possible in some parts of the website to post comments, questions or feedback. These are called “User Content”. Each person is responsible for any content that they publish, link to, display or upload. You must own the Intellectual Property Rights (as defined below) for the User Content you post, or have explicit permission from the owner(s) of all such rights to post the User Content on WO Funding.

"Intellectual Property Rights" in this instance refers to any patent rights, copyright rights, mask work rights, moral rights, rights of publicity, trademark, trade dress and service mark rights, goodwill, trade secret rights and other intellectual property rights. New types of intellectual property rights that arise may not be specified here, but will be included.  

a.      You may not post User Content that infringes any of the following specifications:

b.      Content could create any kind of harm – either physical, mental or emotional to another person or living creature.

c.      Content that might contribute to a crime, or that is illegal in and of itself.

d.      Content that is abusive in some way, e.g. racially, harmful, ethnically, defamatory, invasive of personal privacy, that infringes rights, is libellous or is otherwise objectionable.

e.      Content that could be harmful to a person or property or which you do not have a right to make available.

f.       Content that is not correct or current.

WO Funding may if it wishes removes such content. It is not however, obliged to do so. It does not assume liability for User Content that either you or others use via its service. WO Funding is also not responsible if your User Content is taken and misused. You understand and acknowledge that you may be exposed to User Content that is inaccurate, offensive, indecent, or objectionable, and you agree that WO Funding shall not be liable for any damages you allege to incur as a result of such User Content.

When you upload or publish any content on WO Funding this is by no means a recognition that you own its copyright.  

You are solely responsible for your interactions with other WO Funding Users. We can, but have no obligation to mediate or monitor in disputes between you and other Users.

7.5 License Grant

When posting User Content on the website you are expressly providing and warranting that you have a right to provide to  WO Funding a royalty-free, sub-licensable, transferable, perpetual, irrevocable, non-exclusive, worldwide license to use, reproduce, modify, publish, list information regarding, edit, translate, distribute, publicly perform, publicly display, and make derivative works of all such User Content and your name, voice, and/or likeness as contained in your User Content, in whole or in part, and in any form, media or technology, whether now known or hereafter developed for use in connection with the Service.

Within the terms and conditions cited here, you have a non-exclusive, limited, personal license to use the Service. WO Funding may terminate this license at any time for any reason or no reason.

7.6 Project-Related User Content

If you post content to a project (Project Feedback), the person that created that project becomes the owner fo that content. In posting content you are assigning all rights titles and interests worldwide  In posting content you waive claim to that content. Likewise, if you post a project you understand and acknowledge that WO Funding cannot take responsibility for your use of Project Feedback and only you use Project Feedback at your own risk. Under these terms and conditions you render WO Funding harmless from any liability arising from or relating to your use of Project Feedback.



8.1 Video Tutorials

As part of WO Funding services we provide video tutorials to teach our users how to raise fund on Wofunding.com. The video tutorials are to be use as guidance only, WO Funding does not guarantee that following the guidance will help the users successfully raise fund for their projects. WO Funding does not accept any liability for any damages caused through our video tutorials. Users are fully responsible to make their own decision and judgment.

8.2 Workshops

WO Funding want our users to know as much information about how to raise funds on WO Funding. That’s why we’ve developed our groundbreaking Fund Raising Workshops. Workshops are kept exclusive to small groups. Users can book to attend the workshop on Wofunding.com. Seats are very limited. WO Funding workshops time and venue may change due to any reasons. We will notify you 24 hours in advance through email. WO Funding will not accept any liability caused by the changes.


8.3 Our Guarantee

Once you reach 25 percent of your funding goal, we’ll step in to help you to promote your campaign.

We’ll go about this by posting your project information on our social media networks. Your project will be viewed by our friends, followers and contacts on Facebook, Twitter, LinkedIn and Weibo. We’ll also send your campaign to thousands of our email subscribers, increasing your chances of gaining the critical support that you need.

We do not guarantee your project will be fully funded as this depends on many factors such as your pitch, your perks etc. WO Funding only expose your campaign to our audience, giving your campaign greater exposure hence increasing your chance of getting funded. WO Funding do not need to contact you to ask permission to do this. Using WO Funding, you accept and agree to allow us to promote your campaign in our newsletters, social media or through any other form of marketing, whenever we wanted.

If you wish WO Funding to not promote your campaign, write an email to us and we will stop. WO Funding do not accept any damages caused by posting or promoting your campaign through all of our marketing channels

8.4 Marketing Support Packages

To help our users increases their chance of successfully raise funds on WO Funding. We also offer the different marketing support packages. These include, Custom Pitch Crafting, Press Releases, Social Media Marketing and Custom Video. Details of these packages can be view on Wofunding.com.

The purpose of this is to provide our users with a complete crowd funding services. However we do not guarantee their campaign will get funded because it depends on many other factors such as the users ideas, what they offer may not be what the market wanted, the timing of the campaign etc. WO Funding do not have any liability or accept any damages caused by offering the users these services. The users must do their own research before commit into buying our marketing packages. The money paid into these packages are non-refundable.

8.5 Partner with us

Our affiliates program works like this: if you refer someone to create a campaign on the WO Funding website you will get 50% of what we earned from the total amount raised by that campaign. This means that by offering a chance for your audience to raise funds on WO Funding, you get some of the revenues.

That means you get 2.5% of the amount raised, less any applicable transaction fees on Paypal. For example, if a customer raises $5,000 on WO Funding, you'd get $125 minus paypal transaction fees.

You must create a separate account to take advantage of this offer from WO Funding. You can create an account on the “Partner with us” page. You can withdraw the money you earned when your account has minimum $50. Once WO Funding receive your request, we will process the payment and transfer the money to your nominated Paypal account.


9.1 We offer the sites and the service with no express or implied warranty or condition concerning its capacity or availability.

9.2 WO Funding and its suppliers are not responsible for lost profits or any damages (however arising, including negligence) that come from the delivery of the service or the sale of any goods.

9.3 WO Funding is not responsible for technical difficulties that lead to contributions not being received, processed or accepted as a result of technical difficulties. We are also not responsible for loss, liability or damage incurred by you as a result of a contributions not received, processed or accepted due to technical difficulties.

9.4 We are unable to illegal or inappropriate use of the site will be noticed or prevented.

9.5 WO Funding service is not guaranteed to be continuous and uninterrupted, as issues outside of our control may impact accessibility.

9.6 We are unable to guarantee that any record is saved, especially if your service has been cancelled, suspended or terminated.

9.7 The internet may not always be stable or secure. This may mean that at times the service is unavailable. You acknowledge this.


WO Funding nor its related bodies are liable:

a.      For website disruptions

b.      To you or any other person for loss or damage of any kind which is suffered directly or indirectly by you in connection with your use of this website.

c.      To you or any other person if interference with or damage to your computer system occurs when you use this website. You must take your own precautions against viruses or other damaging activities.


11.1 If there is a disruption to a system or service,  WO Funding is not responsible for costs incurred by you due to a system outage. We may cancel campaigns that end as a result of system error, technical problems, or any other reasonable reason.

11.2 Technology does not allow the development and operation of computer programs and data processing systems entirely without error. Unpredictable events can occur. As such, WO Funding offers no guarantee for the constant and uninterrupted availability of the website and other technical systems. We are not liable for damage incurred by users or third parties from using WO Funding's services. In particular, WO Funding shall not be liable for damage that occurs due to contributions not being received by WO Funding, not being received promptly, or not being considered as a consequence of technical errors.


12.1 Information held within the website is either the property of the WO Funding or used with permission of the copyright holder. Users have no right to reuse, copy, distribute, modify or change content without this express written permission of WO Funding.Violating this policy could lead to legal or civil action against you.

12.2 This website and all of its contents are copyrighted. Any copied or downloaded material from this website may only be used for personal use. Downloading this material does not lead to ownership. All copyright remains with WO Funding.  Contents may not be utilised for any non-personal use without specific written permission from WO Funding. The user recognises thatWO Funding retain all rights to this work even if permission has been obtained to reuse it, and WO Funding must be acknowledged as the author or creator of this content.

12.3 We can close or delete the account of any person who violates our copyright policy or other policies on this website. We can terminate any account without cause if we wish.

14.3 You further agree to indemnify and hold us, and the Indemnified Parties harmless from any claim or demand, including legal fees on a full indemnity basis, made by any third party due to or arising out of a breach of the terms and conditions by you.

14.4 The infringement by you, or other user of the Service using your user name and password, of any intellectual property or other right of any person or entity.


15.1 Wofunding.comis a company that facilitates online funding through its platform. We do not have control of all aspects of  information posted on the website. We also do not have control of this information. This means that information presented by these members does not indicate the feelings, beliefs or company policies of WO Funding.Each third party is responsible for the information that they choose to post on the WO Funding website. It is your responsibility as a site user to carefully determine the accuracy of information presented on this website. We are not responsible for any damages caused by information obtained on this website

15.2 Websites visited through links on WO Funding are not the property of WO Funding.We provide these links only as a service. We are unable to guarantee the content that will be provided or its accuracy from these links, and you are accessing these sites at your own risk.
